2. No. 2 lode mining claim, situated in the Goldfield Mining District, County of Esmeralda, State of Nevada, in consideration for all of the capital stock of your Company.(Signed) W. H. Parkison. After due consideration of said proposition, and the Board being fully advised as to the value of said lode mining claim, the following resolution was offered by Mr. Sims:"Resolved that the proposition of Mr. Parkison to transfer to the General Washington Company the General Washington No. 2 lode mining claim in consideration for all of the stock of the Company, be accepted, and that the President and Secretary of the Company be instructed to execute a certificate of stock to Mr. Parkison in accordance with this resolution."On motion duly made and seconded, said resolution was adopted by the votes of Directors, Kane, Sims and Jackson, Mr. Parkison not voting.Mr. Parkison then resumed the Chair, and the Secretary was instructed to procure seal, books, etc., for the use of the company. Mr. Kane then offered the following resolution: "RESOLVED, that all certificates of stock of the General Washington Mining Company shall be duly certified and registered by some reliable and responsible banking house or registration company for the protection of the Company, and that the banking house of John S. Cook & Company be selected for said purpose."On motion duly made and seconded, said resolution was unanimously adopted.On motion duly made and seconded, W. H. Parkison was appointed resident agent of the Company in Nevada upon whom process might be served.There being no further business before the Board, the meeting adjourned.A true copy,[signed] J. M.
